POWASSAN It can be difficult to keep 128 residents entertained, but even more so during social isolation, says Barb Caicco, recreation director at Eastholme Home for the Aged,.
Its really difficult to be able to have much going. No external ministers or pastors coming in, no volunteers coming in to do those extra things, Caicco explains.
Without outside entertainers or volunteers, recreation staff members have to create and host activities to keep residents entertained.
Weve just had to be a little bit creative in what we do to make things work for either one-to-one programs or small groups of five or less.
Caicco says they are social distancing residents inside the home, making it difficult for them to socialize. But, she says, they are finding ways to cope.
From one-on-one spa days to exercise programs, staff have been looking for alternative programs in addition to the regular arts, crafts and colouring activities. Caicco says they also play music and host sing-a-longs, while videos substitute for live entertainers.
Its important for these folks, especially with Alzheimers disease and dementia, other cognitive issues that they have consistency, Caicco explains. Its been very difficult to maintain consistency because of the constant changing in the initiatives and the directives that were getting. But were doing our best to stay on top of that and have the residents and have activities every day, morning, afternoon and early evening.
One of the new programs created involve video chat sessions for residents to speak with their family members outside the home. The Powassan and Almaguin Highlands Lions clubs have donated tablets to the home to help more residents get online to speak with family.
Caicco says seven to eight residents a day are able to video chat, but there are more ways to communicate with residents.
Were encouraging the community to come and write on our sidewalks with chalk or attach signs to our fences or trees, so that when the residents look out the door or the window, they can see some of the community in action.
Caicco says she hopes more families and community members will walk by the home for window visits. She says residents enjoy seeing the community, especially dogs and children.
Its the small things that show them the community cares, Caicco says.

How to beat weight gain at menopause – EconoTimes
For many women, the journey through menopause is a roller coaster of symptoms including hot flushes, night sweats, sleep disturbance, dry and itchy skin, mood changes, anxiety, depression and weight gain. For some, it can be relatively uneventful.
Menopause is medically defined as not having any menstrual bleeding for 12 months. Most women reach this milestone between the ages of 45 to 55.
Even though weight gain is common, you can beat it by using menopause as an opportunity to reset your eating and exercise habits.
Do women gain weight at menopause?
Australian women tend to gain weight as they age.
During menopause, women also experience a shift in how fat stores are distributed around the body. Fat tends to move from the thigh region up to the waist and abdomen.
A review of studies that quantified changes in body fat stores before and after menopause found total body fat mass also increased significantly.
While the average weight increase was only about one kilogram, the increase in percentage total body fat was almost 3%, with fat on the trunk increasing by 5.5% and total leg fat decreasing around 3%.
Average waist circumference increased by about 4.6 centimetres and hips by 2.0 centimetres.
Other bad news is that once postmenopausal, women have lower total daily energy needs. This is partly because body fat requires less energy to maintain it compared to muscle. So even if your weight doesnt change, the increase in body fat means your body needs fewer kilojoules each day.
In addition to this, the menstrual cycle had a small energy cost to maintain ovarian function. This amounted to about 200 kilojoules a day, which is now saved.
The bottom line is that unless your transition to menopause is accompanied by a reduction in your total energy intake or an increase in your physical activity, youre at high risk of weight gain.
But there is some good news
Around 60% of women manage to avoid weight gain at menopause.
They manage this by either decreasing the total amount of food they eat, cutting down on fat and sugar, using commercial weight loss programs, doing more exercise, or a combination of all these.
They key thing is that they change some aspects of their lifestyle.
So what works best?
Until recently, only three major studies had tested interventions.
The Womens Healthy Lifestyle Project compared the impact of receiving support to improve diet and exercise habits over four years covering menopause, to making no changes at all.
Women who changed their lifestyle had lower body weights, less abdominal fat and better blood sugar levels compared to those in the control group.
The second study, of 168 women, enrolled them into a 90 minute Nordic walking program, three times a week.
This was associated with a reduction in weight, body fat and waist circumference, as well as blood levels of bad cholesterol and fats, highlighting the benefits of endurance walking.
The third study divided 175 Nigerian women into two groups: one group undertook a 12-week circuit training exercise program, the other was a control group.
Women in the exercise group reduced their waist circumference relative to their hips, indicating a reduction in abdominal fat, even though their total body weight did not change.
The 40-something trial
More recently, we studied 54 women aged 45-50 years in the 40-Something trial.
We randomly assigned half the participants to receive healthy eating and physical activity support from health professionals, using motivational interviewing to encourage behaviour change. The other half received information only and were asked to self-direct their lifestyle changes.
Our aim was to prevent weight gain in women who were in either the overweight or healthy weight range as they entered early menopause.
We encouraged women who were overweight to reduce their body weight to achieve a body mass index (BMI) in the healthy weight range (BMI 18 to 25). We encouraged women already in the healthy weight range to maintain their weight within one kilogram.
We gave all women the same healthy lifestyle advice, including to eat:

Women in the intervention group had five consultations with a dietitian and exercise physiologist over one year to provide support and motivation to change their eating habits and physical activity.
After two years, women in the intervention group had lower body weights, less body fat and smaller waist circumferences compared to the control group who received information pamphlets only.
When we evaluated changes based on their starting BMI, the intervention was more effective for preventing weight gain in women initially of a healthy weight.
Of all the health advice, eating five serves of vegetables and taking 10,000 steps per day were the most effective strategies for long-term weight control during menopause.
Although weight gain, and especially body fat gain, is usual during the menopausal transition, you can beat it.
Rather than menopause being a time to put your feet up, its a time to step up your physical activity and boost your efforts to eat a healthy, balanced diet, especially when it comes to the frequency and variety of vegetables you eat.

Travis Zajac is one of several veteran players in the NHL who has experienced a work stoppage. The 34-year-old New Jersey Devils center knows what it takes to keep his body in competitive shape during a period of time where he may have to snap back into action at any time, having gone through the most recent lockout in 2012.
This is different.
It's different because you don't have ice anddon't have a group to really work out with, train and push, Zajac said on a recent conference call with reporters. So a lot of it is on the player "to really get motivated and stay engaged and stay interested and have a routine.

The coronavirus pandemic shut down the NBA on March 11 and the NHL followed suit a day later. The entire sports world came to a screeching halt seemingly overnight.
Tentative dates were given. Initially, theNHL was hopingto resume play in April and begin the Stanley Cup Playoffs in May. But then the days dragged on asthe COVID-19 curve began to spike.
The leagueis still hopeful for a summer restart, with teams spread out through four regional neutral sites and fans excluded from the equation. The Devils are just as hopeful but some players from other teams have hesitations.
There are a number of challenges that come along with restarting the NHL and every other sport, for that matter. The virus and the spread of it will determine when normal life can resume.

The top athletes in other sports should be fine when competition is ready to resume. Yankeesace Gerrit Cole has been playing catch in his backyard with his wife Amy, a former UCLA softball player, and manager Aaron Boone has been able to oversee some home bullpen sessions. Some basketball players have courts as part of their home gyms. Even for those who are not as lucky, their off-field or off-court training can mirror what they do in games.
But hockey players face a unique challenge: Getting on the ice.
I don't think there is anything you can do to replicate what's done on the ice, said Mark Fitzgerald, a strength and conditioning coach who runs the Elite Training Systems facility in Whitby, Ontario, and counts former Devils forward Adam Henrique as one of his clients.
Its difficult for NHL players to know what theyre training for right now. Play stopped at a time when many were starting to increase their off-ice training in anticipation for the postseason, which tends to be a long, arduous battle with increasing physicality throughout.
Players like Zajac and Henrique, now with the Anaheim Ducks,were long out of the playoff chase but still have to stay in season-shape in the event the 2019-20 season is completed.
Standings aside, Fitzgerald first encouraged his clients to get rest but now he has them in a maintenance type phase to be ready to play whenever its safe to do so.
Until they announce that it's not going to come back, we have to keep them on the verge of being ready, Fitzgerald said. If we let it slide too much then they are going to get de-conditioned. The same goes for another month or so and they don't do anything, then yeah, that's not a good place to be.

The NHL is planning on giving teams a short training camp period but falling out of playing shape could result in injuries. Some players will be ahead in their training, like those training in Sweden who have access to ice, but many otherswill be behind.
Dr. Michael Alaia, a sports medicine specialist at NYUs Langone Orthopedic Center played hockey for several years and previously spent time on the Islanders medical team. Without the ice, its impossible to avoid becoming somewhat de-conditioned.
I've played hockey my whole life and there was a time when I was good but that's long gone, Dr. Alaia said. But these players are going to come back and they're going to be a little bit de-conditioned there. They are not going to feel as though they're ready to go. But that detriment is probably going to be felt around the entirety of the league or the entirety of whatever collegiate league is going on as well.
So everybody is going to be put at a disadvantage. The only question is, how disadvantaged will some be compared to others?
When play resumes, Dr. Alaia expects to see some specific injury patterns relating to lower-body muscle strains, particularly in the groin and hamstrings.
These are muscles that are very often injured in hockeyplayers when they're not really activating them and not really undergoing an exercise program, he said. I don't particularly think there's going to be a higher incidence of fractures, let's say collarbone injuries orinjuries from checking, because those usually stay relatively constant regardless of whatever time of the season, except for potentially the playoffs because as you know, those are played at an intensity level higher than the regular season.
Fitzgerald is emphasizing mobility and flexibility. Hes also encouraging clients to look at their weaker aspects that they may now have the time to build up. The one thing he cautions against is overtraining.
Programming, in my opinion, has to be pretty smart right now, because you don't want to want to put athletes into a hole that they can't get out of by overtraining them during this period, he said. Theres nothing else to do, so we do too much, right?I think it's fair to say that it was initially a little bit of a recovery (period) and now we're in that kind of maintenance phase waiting for that next kind of wave of news.
The NHL has debated multiple scenarios for a return, but in order to resume the season safely, Fitzgerald recommends a training camp period of at least two weeks.
"I cant see the NHL saying Hey, we're going to start in a week. Get your teams ready,'" the former Ducks trainersaid."Thatwould be catastrophic. They need a 14- to 30-day ramp-up for it to be safe, in my opinion."
Hockey players typically train in groups in the offseason. But obviously thats not possible right now with non-essential workers forced to stay in their own homes. Each player has a different setup in their home. Zajac and his teammate, P.K. Subban, have extensive home gyms. Others, however, may be extremely limited in their equipment.
The Devils are taking into account each players individual needs and individual home setups when it comes to strength and conditioning plans.
At this level, most players have their own personal trainer, which is fine, but I think it's important for our strength coaches to get in touch with them, make sure that they have everything they need because they don't have access to facilities, Devilsinterim coach Alain Nasreddine said. We want to be able to give them resources where they can work out, stay in shape. So that's what we've been doing.
New Jersey trainers have sent players yoga workouts and had skills coach Ryan Murphy post workouts online for things like stick handling and shot improvement, so players are still able to work on skills in addition to strength.
So many players are using Rollerblades that ESPNs Emily Kaplan wrote a whole story about it. Wayne Gretzky advocated for it, Jack Hughes and his brothersQuinn and Lukehave been in-line skating around their Michigan neighborhood. Zajac ordered a pair to be able to skate with his kids on the driveway of their New Jersey home.
Fitzgerald, however, isnt a fan.
Rollerblading is a strange one, he said. Its definitely not something that I would like a lot of guys doing at a high volume in the offseason. It is slightly different than the skating stride. I'm being really picky now, but it's not really an activity that I would want a lot of my athletes doing just because you're trying to mimic something that isn't really the same. Its comparable, yes, but it's not the same.
Another popular fitness item has been the Peloton bike. Islanders captain Anders Lee ordered ordered one, as did former Devilsforward Blake Coleman (now with the Tampa Bay Lightning). Dr. Alaia said this is an effective option because spinning is a low-impact cardio exercise that also trains the lower body and core, which is key for hockey players.

Symmetry is important, Dr. Alaia said. If they can strengthen their abductors and adductors at the same time, that's what we're really looking for muscle strength training, low-impact exercise and cardio, sort of like a Peloton, anything to keep the cardiac reserve is going to be exceedingly important.
Fitzgerald prefers the assault bike because it moves the upper and lower bodies at the same time.
I don't really put a lot of bike rides into programs now because biking is incomplete hip flexion and extension, he said. So when you skate, it's complete hip flexion and extension, so the bike isn't really teaching you to be more efficient with your skating.
However, Fitzgerald sees the appeal in the Peloton platform, which allows you to take live classes from your home and view a standings board with other users in the class. It brings the competitive aspect players are missing right now into their homes.
(Former NHL defenseman) Kevin Bieksa got one just so he could beat everybody in the class, Fitzgerald said. He didn't even know these people. Yeah, they don't know who he is but he likes to take pictures (of the standings), he sends them to me every time to say, Hey, I beat all these guys.
Plus, Peloton bikes are more popular with the players' wives than assault bikes.
Dr. Alaia and Fitzgerald both like bodyweight and yoga workouts to maintain strength, in addition to things like spin bikes and sprints. Fitzgerald can give his clients a program to ramp up their fitness in a short amount of time when a date to return finally arrives.
And if an athlete injures himself doing a workout at home, he can still receive care. Non-elective surgeries are still restricted in many COVID-19 hotspots, like New Jersey and New York, but some orthopedic surgeries to repair tendon ruptures or fractures are considered essential.
Telemedicine has made great strides in recent years and athletes of all levels are able to receive treatment, such as physical therapy, virtually.
A lot of people doing telemedicine therapy right now, said Dr. Kathryn McElheny, an assistant attending physician at Hospital for Special Surgery in Manhattan. Our players with the Mets, a lot of them are doing their sessions remotely on FaceTime with our trainers and our strength coaches and our athletic trainers and our physical therapists, etc. So, I think just the way that technology has developed over the last several years, but also just in the last few weeks, has been pretty amazing.
When all of the professional and amateur leagues start getting underway again, Dr. Alaia, Dr. McElheny and their colleagues will be looking for new injury patterns and data to study. This is a generational crisis unlike any other we have ever seen, so while its easy to recommend certain exercises and treatment plans right now, some of it is just guesswork based on best practices and what we already know about injury prevention.
All of the emergencies that we've had in New York City have been, for the most part, quick, Dr. Alaia said. When 9/11 happened, the emergency response system was activated. Doctors came in, they did their part. And then for the most part that ended quickly, Hurricane Sandy came in, and NYU for one was affected for four to six weeks and there was an end in sight.
There is no end in sight right now.
Fitzgerald sees several silver linings for his athletes. They can take this time to analyze their sleep andtheir nutrition and rehab some lingering injuries they may have been forced to push through in the past. They can spend time with their kids and wives, even if it means competing with them on the Peloton bike.
Its not ideal, but we can adapt and learn from this crisis to make strides in sports medicine even when strides arent possible on the ice.

With the explosion of smartphones, teens have learned to swiftly scroll and type away using only their thumbs. But the rest of their bodies are woefully inactive & and the effects are far-reaching.
Only about 1 in 4 high school students get the recommended hour a day of physical activity, according to statistics from the American Heart Association. Screen time is partially to blame, along with declining physical education programs in schools, experts say. Teens are missing out on the health benefits, which range from a stronger heart to better mental health.
"Physically active children tend to be less obese and are less likely to develop hypertension, diabetes and cardiac disease, and they have better mental well-being as well," said Dr. Geetha Raghuveer, a pediatric cardiologist at Children's Mercy in Kansas City, Missouri. "Physical activity is an important part of a child's life."
Federal guidelines recommend children and teens ages 6 to 17 get at least one hour of moderate to vigorous activity each day, with that hour including more intense activities at least three times a week to keep muscles and bones strong.
In years past, Raghuveer said, kids were more likely to hop on their bikes or shoot baskets. Now, pursuing the internet is the default recreational activity.
"There are a lot of social media outlets & it's not just TV and video games anymore," she said. "There is too much tablet (and) computer time and phone time using Facebook and Twitter. There's a great deal of sitting time involved and many detrimental effects associated with this."
A 2015 study in Experimental Physiology found girls as young as 7 developed harmful changes in blood flow after just three hours of uninterrupted sitting.
Exercise not only burns calories and sugar, but it also lowers blood pressure and cholesterol. It keeps the heart healthy by helping arteries dilate more easily.
But the physical benefits are just part of the story, Raghuveer said. Exercise also can boost mental health.
"Physical activity is important in maintaining a child's psychological health," she said. "There are many non-cardiac benefits."
A recent study in The Lancet Psychiatry found 12-year-olds who got 60 solid minutes of exercise each day had an average 10% reduction in depression at age 18.
Researchers have begun to delve into the negative effects of social media on exercise time. According to a 2019 study in The Lancet Child and Adolescent Health, social media was linked not only to vulnerability to cyberbullying, but sleep disruption and a lack of physical activity, particularly in girls.
It isn't just screens keeping teens sedentary. Many schools have limited or eliminated their physical education programs due to funding problems and a greater focus on standardized test scores. Even with programs in place, PE classes only provide 10-20 minutes of adequate exercise.
There are, however, ways around these barriers. Schools can work to reduce prolonged sitting by instructing kids to do their work while standing, building in breaks for moving, or providing flexible seating arrangements & like using an exercise ball instead of a chair, said Bethany Gibbs, associate professor of health and physical activity at the University of Pittsburgh.
"Taking short activity breaks can actually improve productivity and concentration," she said.
At home, parents can encourage their kids to be more active by limiting screen time and assigning chores like yard work, Gibbs said. Making small changes, such as scheduling a family bowling trip instead of going to the movies, can make a difference.

The advance voting form is considered as the notification of attendance to the general meeting.
The completed voting form must be submitted to the company no later than on Wednesday 20 May 2020. The completed and signed form shall be sent to the address stated under Notice above. A completed form may also be submitted electronically and is to be sent to magnus.melin@setterwalls.se. If the shareholder is a legal entity, a certificate of incorporation or a corresponding document shall be enclosed to the form. The shareholder may not provide special instructions or conditions in the voting form. If so, the vote is invalid.

Proxy
A shareholder represented by proxy shall issue a power of attorney which shall be dated and signed by the shareholder. If issued by a legal entity the power of attorney shall be accompanied by registration certificate or, if not applicable, equivalent documents of authority. Power of attorney forms for those shareholders wishing to participate by proxy are available on the companys website http://www.mahaenergy.ca. The original version of the power of attorney shall also be presented at the meeting.

Item 1. Election of chairman of the meeting
The nomination committee, consisting of Harald Pousette, representing Kvalitena AB, Lars Carnestedt, representing Nerthus Investments Ltd., Patrik Lindvall, representing Jonas Lindvall and Anders Ehrenblad, the chairman of the board of directors, proposes that attorney Marcus Nivinger is appointed chairman of the annual general meeting.
Item 8. Allocation of the companys profit or loss according to the adopted balance sheet
The board of directors proposes that the companys available funds shall be carried forward in new account and that no dividend shall be paid for the last financial year.
Item 10. Determination of the number of members of the board of directors and the number of auditors and deputy auditors
The nomination committee proposes that six board members are elected.
Further, the nomination committee proposes that a registered public auditor is appointed as auditor.
Item 11. Determination of the fees payable to the members of the board of directors and auditors
The nomination committee proposes that the fees payable to the board of directors for the period until the end of the next annual general meeting shall remain the same and amount to a total of SEK 1,915,000 (remuneration for committee work not included) out of which SEK 415,000 shall be paid to the chairman and SEK 300,000 to each of the other ordinary members. The managing director shall not receive a fee as an ordinary member of the board of directors.
Board members shall also be entitled to invoice the company in so far as they perform services outside the board assignment.
Furthermore, it is proposed, as remuneration for the committee work, the chairman of the audit committee is to receive SEK 60,000, the chairman of the compensation and governance committee SEK 60,000, the chairman of the reserves and health, safety and environment committee SEK 60,000, members of the audit committee (the chairman excluded) SEK 40,000 each, members of the compensation and governance committee (the chairman excluded) SEK 40,000 each and members of the reserves and health, safety and environment committee (the chairman excluded) SEK 40,000 each. The managing director shall not receive remuneration as a member of a committee.
It is proposed that the companys auditor shall be paid in accordance with approved invoices.
Item 12. Election of members of the board of directors and auditors
The nomination committee proposes re-election of Jonas Lindvall, Anders Ehrenblad, Harald Pousette and Nicholas Walker as ordinary board members. The nomination committee further proposes the new-election of Seth Lieberman and Fredrik Cappelen as new ordinary board members. The nomination committee proposes election of Harald Pousette as chairman of the board of directors.
Seth Lieberman, born 1961 and a resident of United Kingdom, obtained a Bachelor of Arts in Economics from Tuft University, USA. Seth Lieberman is a seasoned veteran within the international real estate sector, particularly in his native USA and Europe. He also has broad experience within business solutions, financing and private equity participation. He has held senior roles at Advanced Capitals Real Estate Fund, UBS Investment Bank, Hypo Real Estate, Lehman Brothers International, Credit Suisse and GE Capital. Seth Lieberman is a member of EQT Real Estate Funds I & II investment committee. Seth Lieberman is the Chairman of Kvalitena AB (publ) and a number of its subsidiaries, including Huski Chockolate and Svenskt Industrifly.
Fredrik Cappelen, born 1962, and a resident of Norway, obtained his Bachelor of Arts in Business from Regents University in the United Kingdom. Fredrik Cappelen has a long history in the Norwegian oil and gas financing scene. He is currently the managing director and majority shareholder of M25 Industrier AS and Vinfos AS. Prior work experience includes Head of Sales of Equity Capital Markets at Arctic AS, before which he held several senior management positions at SEB, including Head of Sales and Corporate Finance. Fredrik Capellen is a Director of Sikri AS, Proxll AS and Proterm AS.

The nomination committee further proposes re-election of the accounting firm Deloitte AB as auditor. Deloitte AB has informed that Fredrik Jonsson will continue to be appointed as the auditor-in-charge.
Item 13. Resolution regarding principles for the appointment of and instructions regarding a nomination committee
The nomination committee does not propose any changes to the principles adopted at the annual general meeting in 2019 (applicable until the general meeting decides otherwise). The principles are kept available on the companys website at http://www.mahaenergy.ca.
Item 14. Resolution on a policy for remuneration to the senior executives
The board of directors proposes that the general meeting resolves on the adoption of a policy for remuneration and other employment conditions for senior executives, as set forth below, which shall apply for the time being. The policy is applicable on agreements entered into after the general meeting held in 2020, and as far as changes are made to existing agreements, thereafter.
Purpose
This remuneration policy includes salary and other terms and conditions for Senior Executives of Maha Energy AB (publ) and its subsidiaries (collectively Maha or the Company), including the managing director, hereinafter collectively referred to as Management Persons. Senior Executives for the purpose of this Policy shall include all Officers of the Company. The purpose of this policy is to provide guidelines for salary and other benefits for the Management Persons in accordance with applicable law and the requirements of the Swedish Corporate Governance Code.
This policy is only applicable to Mahas Management Persons.
This policy shall be adopted at the annual general meeting (AGM) 2020 and reviewed at least every four years.
Main principles
Salary and other terms and conditions shall enable Maha to attract and retain competent Management Persons. The remuneration for Management Persons may consist of fixed salary, variable remuneration, pension, other benefits and share related incentive programs. Variable remuneration is to be linked to predetermined and measurable performance criteria, formulated with the objective to promote Mahas long-term value creation.
Remuneration shall not discriminate on grounds of gender, ethnic background, national origin, age, disability or other irrelevant factors.
Fixed salary
Management Persons employed by Maha shall be offered a market level fixed salary, commensurate with the international oil and gas sector, based on responsibilities, sector and time experience and performances. Salary shall be determined per calendar year with salary revision on 1 January each year.
Management Persons, if active in Maha on a consultancy basis will be paid a market level consultancy fee, commensurate with the international oil and gas sector, based on responsibilities and performances for time spent.
Variable remuneration
The managing director and other Management Persons employed by Maha may from time to time be offered variable remuneration. Such variable remuneration eligibility shall be set forth in each Management Persons employment agreement. Mahas maximum cost of variable remuneration to Management Persons, including social security contributions, is to be accounted for in the Annual Report which shall be available prior to the Annual General Meeting of Shareholders.
Variable remuneration for the Management Persons shall primarily be based on Mahas result and the individuals performance. The Companys remuneration committee shall propose and evaluate goals for variable remuneration for Management Persons each year. The evaluation made by the remuneration committee shall be reported to the board of directors.
Share related incentive programs
The share related incentive program is designed to retain and attract long term qualified and committed personnel in a global oil and gas market setting. The program is available to select employees and is meant to re-occur annually.
The number of share related options shall be in the middle range of listed companies in Sweden.
Some Management Persons and Maha employees (including some of Mahas consultants) may participate in share related option programs in Maha. The programs is described in the annual report.
The remuneration committee and the board of directors shall annually evaluate whether to propose share related incentive programs at the Annual General Meeting.
Pension
The Pension benefits comprise of a defined contribution scheme with premiums calculated on the full basic salary. The Pension contributions shall be in relation to the basic salary and is set on an individual basis but shall not be higher than what is tax deductible.
The Company will, at the minimum, follow statutory requirements for Pension contributions in each applicable jurisdiction it operates.
Termination and severance payment
The Company are bound by individual employment agreements where severance obligations are common for Management Persons. Additionally, the Company abides by statutory severance obligations in the countries it operates.
Redundancy payment, apart from salary, during the period of termination notice is not allowed.
Preparations and decision-making of the board of directors
The remuneration committee proposes, and the board of directors decides, on remuneration and other employment terms for the managing director according to the above. The remuneration committee and the managing director together propose, and the board of directors decides, on remuneration and other employment terms for other Management Persons according to the above.
Mahas auditor shall annually review the implementation of this policy under applicable rules. The auditors report shall be submitted to the board of directors and presented at the AGM as and when required by law or listing agreements.
Deviations from the remuneration policy
The board of directors shall be entitled to deviate from the guidelines in this policy in individual cases if there are special reasons for doing so.
Item 15. Resolution on an incentive programme and issuance of warrants to senior management and key employees (LTIP)
The board of directors in Maha Energy AB (publ) (the Company) proposes that the annual general meeting resolves on an incentive programme for senior management and certain key employees through issuance of warrants entitling to subscription of new shares of class A in the Company (Shares) as set forth below.
Background
The proposal to launch an incentive programme by the issuance of warrants is presented by the board of directors of the Company in order to strengthen the retention of employees with the company group and to motivate the employees to create shareholder value. The board of directors assess that these objectives are in line with all shareholders interests.
The programme encompasses employees employed by the Company and subsidiaries of the Company (together, the Group). Board members are not allowed to participate. Those entitled to participate in the incentive programme are hereinafter referred to as Participants.
Terms and conditions for the issue of warrants
Allocation principles to be applied in relation to Participants
Warrants subscribed for by the Subsidiary shall be transferred to the Participants in accordance with instructions from the board of directors of the Company and the principles set forth below.
The transfers of warrants from the Subsidiary to the Participants are to be made without consideration (i.e. free of charge).
The Participants right to receive warrants shall be differentiated based on position, responsibility and work performance in the Group and the maximum allocation of warrants for each Participant is set forth in the following schedule:
Allocated warrants may be exercised for subscription of new Shares in the Company during the period from and including 1 June 2023 until and including 29 February 2024. Subscription of new Shares may however not take place during so-called closed periods according to the EU Market Abuse Regulation, or otherwise in breach of relevant insider rules and regulations (including the Companys internal guidelines in this respect).
Warrant agreement
All warrants will be governed by warrant agreements to be entered into between each Participant and the Subsidiary in connection with the transfer of warrants from the Subsidiary. The warrant agreement will include certain transfer restrictions and other terms and conditions customary for such agreements.
Reasons for the deviation from the shareholders preferential rights
The reasons for the deviation from the shareholders preferential rights is that the Company wishes to offer warrants to employees of the Group in order to strengthen the retention of employees and to motivate them to contribute to the creation of shareholder value.
Dilution, costs, etc.
Upon full subscription, transfer and exercise of all 460,000 issued warrants; a total of 460,000 new Shares will be issued in the Company (subject to potential recalculations in accordance with standard terms and conditions applicable to the warrants). This would lead to a dilution corresponding to approx. 0.5 per cent of the total share capital and number of votes in the Company (based on the share capital and number of shares in the Company registered as of the date of this proposal and calculated as the maximum amount of share capital and number of shares that may be issued, divided by the total share capital and the total number of shares in the Company after the proposed warrants to be issued have been exercised).
The incentive programme is expected to have a marginal effect on the Company's earnings per share. A preliminary estimate of the market value of the warrants is SEK 3.63 per warrant for the call period (as at 22 April 2020), assuming an underlying market value and exercise price of SEK 8.15 per share (as at 22 April 2020). The Black Scholes valuation model has been used for valuing the warrants and assumes a risk free interest of -0.27 percent and a volatility of 61.5 percent.
Costs related to the issuance of warrants under the incentive programme will be accounted for in accordance with IFRS 2 and recognized as an expense in the income statement during the vesting period. The preliminary estimate of total cost to be recorded during the term of the programme is SEK 1,670,628. Ongoing administration costs and other costs of the programme are minimal.
Outstanding incentive programmes
In addition, 2,000,000 warrants are outstanding under three (3) long term incentive program for employees and senior management of the Group, of which the first program comprises of 750,000 warrants (Program One), the second program comprises of 750,000 warrants (Program Two), and the third program comprises of 500,000 warrants (Program Three). Each warrant under the respective program entitles to subscribe for one new Share in the Company. The exercise price of the warrants corresponds to 100 per cent of the volume weighted average last closing price for the Companys share on Nasdaq First North Growth Market during the period from and including (i) 12 June 2017 until and including 15 June 2017 for Program One, (ii) 24 May 2018 until and including 29 May 2018 for Program Two, and (iii) 17 May 2019 until and including 23 May 2019 for Program Three. The warrants may be exercised from and including (i) 1 June 2020 until and including 31 December 2020 for Program One, (ii) 1 May 2021 until and including 30 November 2021 for Program Two, and 1 June 2022 until and including 28 February 2023 for Program Three.
Approval of transfer of warrants from the Subsidiary to Participants
A resolution to issue warrants in accordance with this proposal also includes an approval of the transfers of warrants from the Subsidiary to the Participants.
Majority requirements
This proposal to adopt the incentive programme and to issue warrants, as well as the approval of the transfers of warrants from the Subsidiary to the Participants, is governed by the provisions in Chapter 16 of the Swedish Companies Act (Sw. Aktiebolagslagen (2005:551)), and a valid resolution therefore requires that the proposal is supported by shareholders representing at least nine-tenths (9/10) of the votes cast as well as of all shares represented at the meeting.
Miscellaneous
The chairman of the board of directors, the managing director or a person appointed by the board of directors shall be authorised to make any minor adjustments required to register the resolution with the Swedish Companies Registration Office.

According to a study by Yale researchers, stress may contribute to an increased risk for obesity and other metabolic diseases. Uncontrollable stress, in fact, changes eating patterns and the consumption of hyperpalatable foods, like those late-night Oreo cookies or Cool Ranch Doritos.
Our good habits are being challenged by our natural tendencies to snack more while at home which can include comfort foods, explained W. Scott Butsch, MD, MSc, Director of Obesity Medicine, Bariatric and Metabolic Institute at the Cleveland Clinic. That, together with a baking pandemic, could add more calories to the day.

Increased stress levels lead to a rise in the stress hormone, cortisol, which can result in an increased appetite. Dr. Wilder continued: The weight gain in the current pandemic is further accentuated by a decrease in daily exercise and an increase in alcohol consumption.
Does Stay at Home Translate to Binge at Home?
Since the start of the pandemic, public health professionals have been advising us to avoid social gatherings by staying home. During daily White House press briefings and on nearly every major news outlet the nations top infectious disease physician, Dr. Anthony Fauci, in his delightfully-prominent Brooklyn accent, has explained the rationale of physical distancing in reducing transmission of this highly infectious coronavirus. But have public health pundits inadvertently triggered a different health problem overeating?

I think several emotions are at play here, Dr. Butsch reflected. More stress, more fear, more boredom lead to comfort foods, more snacking, more carbs.
Some folks are combating their boredom and loneliness by watching TV and movies, but that can be associated with mindless snacking of chips and popcorn as well as consumption of alcohol, all of which can contribute to weight gain.
Seven Ways to Maintain a Healthy Food Regimen
1.Take an Emotional Break. In the midst of SO much uncertainty, give yourself permission to indulge on your favorite cheesecake, parmesan truffle fries or Pinot Grigio! But in moderation perhaps a glass of wine each night or a few cookies per week.
2.Make a Schedule. Heres a sample: prepare breakfast (maybe a fruit smoothie or scrambled eggs); do a zoom meeting or other work; exercise at noon (see #5); grab a healthy snack (see #3); squeeze in some more work; make dinner; watch TV/movie, read, wind down.

3.Prepare healthy snacks. Im always snacking between meals, and there are plenty of healthy options. 4.Portion control. While at home, its easy to consume an entire large bag of potato chips or 6-pack of beer which can contribute to unintentional weight gain. Try to measure out portions of food and transfer into smaller bowls or plates.

5.Regular physical activity. Moderate exercise releases endorphins which reduce stress and improve mood. 7.Mindful practice. Daily meditation can reduce stress, improve attention and help us be more mindful of our food choices. According to Harvard Health, mindful eating means being fully attentive to your food as you buy, prepare, serve and consume it. Next time youre cooking, bring all your senses to the meal smell the onions and garlic, feel the ripe tomato, hear the pepper shaker and taste the spices in your turkey chili.

When I was a kid growing up in the central Pennsylvania land of hunters, my father and I would sometimes head off into the woods in search of elusive wild things to shoot at. Dad used to joke that our rigorous excursions were more like exercise programs for regional wildlife than actual success filled killing missions. Im not sure we ever actually hit much of what we shot at, excepting the occasional hemlock tree or mountain laurel bush. We often laughed on our drives home about what the woods' animals must be saying to each other as we entered their domain. Something perhaps like, Oh boy, here comes Goober and Festus again, lets get ready to rumble. These turkeys couldn't hit the broad side of a barn door.
Once while exercising the game, we came across something entirely unforeseen. As we combed the hills for self reliant cottontails and grouse, I noticed a brown pile of feathers off in the brush. As I crept closer to investigate, 16 gauge at the ready, I was quite amazed to see a dead great horned owl, in perfectly good shape with no signs of trauma. Puzzled, I hailed dad, who had treed a blue jay that I swear was making fun of him with loud squawks, to come have a look. Neither of us had any idea why this healthy looking owl would be dead. We gathered it up and took it home, not knowing, of course, that this was not an act sanctioned by wildlife preservation officials. Eventually we took the critter to a taxidermist and showed it off for many years as one of our shining moments during hunting season.
I loved that owl and have been fascinated by owls ever since. I was very pleased to learn about the Chewonki showing of live owls at The Lincoln Home in Newcastle and couldnt wait to visit. But the owl visit was cancelled, so I wrote to Emma Balazs, the owl lady at Chewonki, and asked if I could stop by to see the owls scheduled for The Lincoln Home visit. She was wonderfully gracious and we arranged a date.
Emma looks after many birds, most injured and and rehabbed at Avian Haven in Freedom, Maine. If they cant return to the wild, Emma tries to accommodate with housing at Chewonki. She has quite a collection of many different owls, and a couple of crows, all of which are trained, or in training for, public visits in schools and such.
Sparky, the great horned owl shown in todays photo, is pretty chill. I dont recall why Sparky is disabled a bad wing perhaps. But with Emmas help, I was able to enter Sparky's home space and make a few photos. Sparky offered a few peculiar sounds which Emma said were common when a stranger entered its space.
Sparky wasnt as pretty as our owl, but way better off. Thank you Emma, and Sparky.
