Sarama Resources Announces Completion of Warrant Exercise … – MarketWatch

VANCOUVER, BC--(Marketwired - March 20, 2017) - Sarama Resources Limited (SWA) ("Sarama" or the "Company") announced today that it has completed its previously announced warrant exercise incentive program (the "Incentive Program"). The Incentive Program was implemented to encourage the early exercise of warrants originally issued between May 30 and July 4, 2014 (collectively, the "Original Warrants"), each exercisable at C$0.20.
Since the announcement of the Incentive Program on February 16, 2017, an aggregate of 7,263,333 Original Warrants have been exercised, resulting in gross proceeds to the Company of C$1,452,666.60. The proceeds from the early exercise of the Original Warrants will be used to advance the exploration of the Company's resource properties and to fund administrative expenses.
In connection with the Incentive Program, the Company issued an aggregate of 3,615,040 incentive warrants, exercisable until March 17, 2019 at a price of C$0.35 each to acquire an aggregate of 3,615,040 additional common shares of the Company ("Incentive Warrants").
Sun Valley Gold Master Fund, Ltd. ("Sun Valley") is a related party of the Company as a result of owning approximately 15% of the Company's outstanding Shares. Sun Valley exercised an aggregate of 2,500,000 Original Warrants and received an aggregate of 1,250,000 Incentive Warrants. Mr. Andrew Dinning, a director and President and Chief Executive Officer of the Company exercised 500,000 Original Warrants and received an aggregate of 250,000 Incentive Warrants. Mr. Sean Harvey, the Chairman of the Company exercised 400,000 Original Warrants and received an aggregate of 200,000 Incentive Warrants. Other directors and executive officers of the Company exercised a combined 231,833 Original Warrants and received an aggregate of 115,916 Incentive Warrants.
The participation in the Incentive Program by, and issuance of Incentive Warrants to Sun Valley and the Company's directors and executive officers constituted a "related party transaction" as defined in Canadian Multilateral Instrument 61-101 - Protection of Minority Security Holders in Special Transactions, which has been adopted by the TSX Venture Exchange pursuant to its Policy 5.9 - Protection of Minority Security Holders in Special Transactions (the "61-101 Policy"). However, the Incentive Program is exempt from the formal valuation and minority shareholder approval requirements of such instrument and policy, as the Company's Shares are listed on the TSX Venture Exchange and, in respect of the minority shareholder approval requirement, neither the fair market value of the additional Incentive Warrants, nor the consideration to be received for the Incentive Warrants exceeds 25% of the Company's market capitalization.

A stroke nearly ended Clarence Youngs horse riding days, until a Tarleton State University physical training program put him back in the saddle.
Results are impressive, says Dr. Joe Priest, who runs the Tarleton Laboratory for Wellness and Motor Behavior (LWMB). The longtime Stephenville plumber, who suffered a stroke about three years ago, was told by specialists that his horseback riding days were over. Thanks to Team Kinesiology (TK)the students in the LWMBYoung has overcome that prediction.
His story, and many others, is told in Priests newly released book, After Everybody Else Gave Up. In it, the Tarleton professor of kinesiology chronicles the success of a unique training program thats changing lives and restoring hope.
The book documents stories of clients in wheelchairs who, with time in Tarletons LWMB and a resolve to improve, have left on their own two feet.
Participants with frozen shoulders and arms have regained the functional ability to lift their hands above their heads.
Some call it an exercise program, others rehabilitation. Priest and his team define the training program as science paired with a strong will to overcome. Those benefiting the most by what takes place daily in Tarletons LWMB call it a second chance.
For more than 20 years, Priest and TK have helped people with complications from stroke, neurological disorders or spinal cord injuries. The clients coming to the LWMB enjoy a renewed quality of life after exhausting health care benefits and being told by medical experts that their situation is hopeless.
Case studies in After Everybody Else Gave Up include that of Dr. Neal Sutherland, a physician who travels 60 miles roundtrip to work with TK.
Sutherland does 1,000 or more revolutions per day500 forward, 500 backwardthree days a week on a direct-drive, energy-regeneration bike, an activity his medical colleagues find remarkable for someone whos suffered a major stroke. He also completes 2,500 stepsequal to 1.5 milesdaily on a NuStep Recumbent Trainer, which allows him to move his legs and arms simultaneously.

Under Priests guidance, team membersundergraduate students typically with more than 100 university credit hourshelp develop and supervise physical workout programs based on each clients specific needs and personal goals.
Unlike conventional therapeutic activities that incorporate brief periods of warm up, activity and cool downoften in isolation from other patients with a single trainerwe provide low-intensity training that often lasts three hours or more per session and takes place in a team environment, Priest said. Clients continue the workouts for as long as needed, and theres no charge. The only requirement is a physicians consent.
The impressive results show that regimented, persistent training can extend health care beyond expected medical and therapy results, Priest said of his work. As a prototype, the lab could be the basis for a significant change in health care, producing major cost-savings.
With the release of my new book, I am hopeful that the breakthroughs were experiencing at Tarleton soon will become the norm for treating those with catastrophic injuries, he said.

"I had only been on the site for a matter of weeks when I started talking to Matthew, we clicked instantly and have been together ever since.
"Mathew never saw me when I was at my biggest but I have shown him all of the photos, he is constantly saying how proud he is of me."
In 2014, Laura began suffering with stomach pains and doctors told her that she needed to have her gall bladder removed. But, in order to have the operation, Laura needed to lose three stone.
She added: "That really gave me the kick I needed and so in January 2015 I joined Slimming World and began exercising at home using workout DVDs.
"A few months later I had lost just over five stone and was finally able to have the operation to remove my gall stones. "I stopped eating rubbish and have stuck to my diet plan ever since, I have now lost eight stone." Laura reached her goal weight of 10 stone in the summer of 2016 which finally gave her the confidence to socialise again.
Laura said: "Some of my friends suggested that I should join a dating site, I had previously been on Plenty of Fish and so decided to update my profile.
"I had just turned 30 and realised I didn't have anything to lose, I didn't want to be alone forever.
"From the moment I met Matthew I knew he was just perfect and nearly a year later we are still together.
"At the moment we are living separately but we are always talking about and planning our future together.
"Before losing the weight I was always the biggest amongst my friends, I wanted to look nice and fit into the clothes they were wearing but I never could.
"But now that I'm a size 8-10 I can finally shop in the places they shop in and I can even borrow their clothes, it feels amazing."

When Sal Paradiso was a senior in high school, his father died of a heart attack at age 42. The teen, who had always been the heaviest student in his class, comforted himself with food and steadily gained weight.
By the time he was in his early 30s, he weighed about 700 pounds. As he struggled to stand in the shower, get out of bed or cook food without getting winded, he thought life shouldnt be so difficult.
I wasnt getting any younger and I realized I had to make a drastic change or I would end up like my father, Paradiso, 35, of Land O' Lakes, Florida, told TODAY.

In February 2014, he visited a doctor for a consultation for weight-loss surgery. He was so heavy that the office scale couldnt register his weight. The doctor and nutritionist put him on a strict low-carb, high-protein diet, noting he had to shed weight before surgery.
As someone who was eating upwards of 10,000 calories a day prior to it, it has been a monumental change and it is what worked for me, he said.
At his heaviest weight, Sal Paradiso estimates he weighed about 700 pounds. He's unsure because he could not find a scale that could register his weight.

While he dropped pounds right away, he wasnt sure how much he lost initially because he didnt know what his starting weight was. Then he started dropping seven or eight pounds a week. Because he weighed so much, exercise was difficult.
Early on, I really couldnt work out. When you are that big, it is hard to move around. Fortunately for me, my family has a swimming pool, he said.
Paradiso swims laps he must do low-impact exercise because his years of being extremely obese ruined his knees.
As he slimmed down, he added free weights to his routine and also started riding an exercise bike.
Over two years, he lost 254 pounds and underwent surgery in the summer of 2016, which helped him lose another 120 pounds.
In total, he lost 374 pounds. The tremendous weight loss means he has excess skin hanging from his 6-foot frame about 65 to 80 pounds worth of it and Paradiso is trying to raise money for skin removal procedures.
These surgeries can be expensive, according to Dr. Jeffrey Gusenoff, a plastic surgeon and co-director of the University of Pittsburgh Medical Center's BodyChangers, a lifestyle and support program for people who are trying to lose weight or have lost weight. On average, each surgery costs between $4,000 to $6,000, plus extra costs for anesthesia and a hospital stay.
"(Insurance companies) often will cover the abdominal skin removal, but insurance companies often require that the patient proves medical necessity by having persistent rashes that require either prescription creams or oral antibiotics to treat rashes under the skin folds," explained Gusenoff. "This extra skin must also hang low enough to block the genital region or thighs. Arms, thighs, breasts, buttocks and other areas are often not covered and are considered cosmetic."
Paradiso's excess skin causes him physical pain it chafes and he gets sores and infections and it makes him feel insecure at times.
You are making all this progress, he said. But your shell resembles someone you no longer are.
At 32, Paradiso realized if he didn't lose weight, he might end up like his father, who died of a heart attack at age 42.

Yet, Paradiso wants others to feel inspired by his story.
Change is possible. I speak as someone who was 700 pounds, he said. "Im a pretty happy guy and I am a lot happier today than I was three years ago."
Here is his advice to others hoping to lose weight.
Friends and family supported Paradiso as he worked to lose weight. Hearing encouraging words motivated him on days when it felt too hard.
Since losing 374 pounds, Paradiso has been able to enjoy a more active life.
My friends and family continue to push me every day, he said. If you can surround yourself with a decent enough support system you can overcome 10 or 15 years of beating yourself to the ground by putting on so much weight.
Paradiso wanted to weigh between 200 to 225 pounds, a loss of 475 to 500 pounds, and more than half his starting weight (though about 65-85 of it is skin, which cannot be lessened no matter how intense the dieting and exercise).
Thinking of losing so much weight seemed insurmountable.
Looking at it in smaller pictures it is possible to conquer the mountain, he said.
Looking at pictures of his father encouraged Paradiso when he struggled.
He is a constant reminder of why I do this, he said.
After losing 374 pounds, Sal Paradiso has about 80 pounds of excess skin that needs to be removed.

Most employees spend at least 40 hours a week in the office. Over the course of the year, thats 2,080 hours. Much of that time is spent sitting. And long workdays often make it difficult for workers to find time to squeeze in trips to the gym.
But, with health-related expenses costing companies millions of dollars a year, employers can, and should, be doing all they can to get their employees fit.
How? Here are four tips to help workers adopt the Little-Engine-That-Could mindset (I think I can!) and get on a healthy track.
1. Integrate healthy living information into everyday tasks. Some examples:
Encourage employees to download a free workout app such as Sworkit or the Johnson & Johnson 7 Minute Workout. Set the company intranet homepage to a healthy living website, or incorporate a dedicated health section. The American Heart Association, The Nutrition Source by Harvard School of Public Health and The American Diabetes Association have informative websites. Also, provide a list of healthy living organizations on social media that employees can follow to keep nutrition and exercise on their mind. Declare Wednesdays as Walking Wednesdays by hosting workday walking meetings or listening to conference calls on foot. Also, encourage employees to park farther away and take the stairs.
2. Put it on paper pros and cons style. As part of a health campaign, have employees jot down the pros, including benefits and perks, and the cons, including challenges and fears, that chasing weight loss or other personal health goals will entail. It can be difficult to be motivated a person to do something when the risks and reward arent clear. Ready to take it to the next level? Have an area where employees can share their lists, which will increase accountability and make it official.
3. Work the buddy system. There is power in numbers and groups can add to both the fun and accountability. Create a community where employees can find a friend or co-worker to partner with as they tackle the challenges of healthy eating and exercising. Consider coordinating fun workplace initiatives such as a walking or running group, a team weight maintenance program during the holidays, signing up a team for a recreation league or inviting local health and wellness professionals to host workshops and cooking demos.
4. Build a supportive culture. People will not succeed if they do not believe in the process. Employers must build a space that supports healthy activities and living. If employees do not feel that the employers efforts are sincere, they are less likely to participate. Employers must offer a supportive culture and an array of activities to reach every employee, regardless of preferences and lifestyles. Also, they need to make sure that employees understand that results wont happen overnight. Small changes over time can add up to big results.
These tips will help employers and their employees work together to create a healthy, productive workspace that encourages everyone to be active and live well. Getting started on a weight loss journey can be intimidating, but with the right tools and support, employees should be able to fit health into our busy lives. Normally, Im pretty skeptical about online health videos, but Dr. Gundry actually has a resume thats hard to ignore. He has over 30 years experience as a heart surgeon, he was head of Cardiothoracic Surgery at Loma Linda University, he founded The Center For Restorative Medicine the guy knows his stuff.
(You might also know him from his many TV appearances or his best-selling book Dr. Gundrys Diet Evolution.)
So this isnt just some random thing a guy uploaded to YouTube about how blueberries can cure male-pattern baldness. This video is backed up by a lot of science and it makes ENTIRELY TOO MUCH SENSE.
Heres why I think watching this video is so important until I watched it, I never really understood where food cravings came from.

I think I always just assumed, Hey, Im genetically-inclined to like pizza and pasta because I come from a long-line of starch addicts. But nope. Thats not it at all.
What we eat every day plays a huge role in our overall health, and what we eat can influence those annoying cravings that make us eat a whole bag of chips even if were not really hungry.
But the important thing to realize is that those cravings for bad foods arent really coming from our brain theyre coming from OUR GUT.
Thats right. If you cant stop eating junk food, chances are, the origin of your problem starts in your gut or, more specifically, your poorly-cared-for digestive tract.
I can hear you already saying, BUT I try to eat healthy all the time! I eat vegetables and whole wheat bread and protein all the time!
And, oddly enough, trying to eat healthy might actually be a big part of your weight gain problems.
Dr. Gundry explains this in MUCH greater detail in his video, but, essentially, there are FAKE health foods out there. Foods that we THINK are healthy, but that, in reality, are horrible for our digestive health.

These fake health foods can be bad for you because they contain high levels of certain proteins that can KILL certain microbes in your digestive trait. But those are microbes that shouldnt be killed. I realize that sounds counter-intuitive we live in the age of antibiotics and antibacterial soaps in every bathroom, but we NEED a certain level of microbes in our body to help us digest food.
However, there are good microbes and bad microbes. The good microbes keep us healthy, help us digest food properly, help us manage our cholesterol. And they send messages to our brains that let us know Hey, were full, lets stop eating now.

But bad microbes microbes like yeast and bacteria they just want to keep eating and growing and guess what helps them grow? Really crappy food. Things full of sugars and saturated fats and everything else our bodies DONT need.
If we eat the wrong foods (or take too many antibiotics) and it affects the levels of our good microbes, it just leaves behind the bad microbes. And theyre the reason you keep eating cold pizza at 3 in the morning and gaining weight.
Dr. Gundrys explanation for how our food cravings really work BLEW MY MIND and made me realize that Ive been taking terrible care of my gut over the years. (No wonder I like chocolate-covered bacon so much.)

Nurses adopt plant-based vegan diet for 21 days and lose weight – Medical Xpress

Joanne Evans, M.Ed., R.N., P.M.H.C.N.S.-B.C., provided a presentation to colleagues at George Mason University in Fairfax, Va., about the health benefits of adopting a plant-based vegan diet and soon had 19 nurses eager to test out the science firsthand.
After 21 days, 74 percent of the nurses, 14 out of 19, in this self-reported plant-based dietary review lowered their cholesterol, with a mean average of 18 mg/dL, while six lowered their cholesterol by 45 to 60 mg/dL; more than half, 10, lost weight, with an average weight loss of 4.4 pounds, with a range of 1.5 to 9 pounds; 30 percent, six, reported gains in energy; and 41 percent, eight, reported feeling highly satisfied with their health, compared to one nurse who reported this before the dietary modification. After the program concluded, the nurses reported an uptick in fruit and vegetable consumption, while meat and dairy consumption fell. The findings appear in the March 2017 issue of the American Journal of Nursing.
"Large bodies of research show a plant-based vegan diet boosts weight loss, lowers blood pressure, improves cholesterol, and stabilizes blood sugar," says Neal Barnard, M.D., F.A.C.C., creator of the 21-Day Vegan Kickstart, president of the nonprofit Physicians Committee, and an adjunct associate professor of medicine at the George Washington University School of Medicine and Health Sciences. "We now have preliminary evidence that this way of eating boosts energy, too. The secret is to stick with the prescription since the health benefits last as long as you're putting the dietary principles into practice. A plant-based vegan diet is not a fad diet, but a new approach to eating, a new approach to health, and a new approach to life."
A review about vegetarian and vegan diets in the Dec. 2016 issue of the Journal of the Academy of Nutrition and Dietetics finds a plant-based vegan diet reduces the risk of type 2 diabetes by 62 percent, the risk of death or a hospitalization from a heart attack by one-third, or 32 percent, and the risk of developing all forms of cancer by 18 percent.
Plant-based eating patterns continue to gain traction among cultural influencers, from former president Bill Clinton's adoption of a vegan diet to improve his heart health in 2010 to Beyonc's debut of her newfound approach to weight loss in 2013 and New England Patriots quarterback Tom Brady releasing his plant-based secrets, shortly after a Super Bowl victory, in a New York Times magazine feature in 2015. Serena and Venus Williams applaud this dietary approach for its anti-inflammatory benefits. They competed together at the U.S. Open earlier this year.
Similar to today's top athletes and cultural influencers, the nurses in this study have the ability to influence a larger audiencetheir patients and nursing students.
"A plant-based diet provides a healthful template for all patients, but what I find works best is personalizing the approach," says Evans, the lead review author and a clinical research specialist. "We miss the point when we give generic advice and suggestions. I recommend clinicians do a nutritional assessment, learn what the patient eats on a daily basis, find out their food preferences, discover their challenges, and create personalized solutions."
The nurses in the program achieved metabolic benefits without counting calories, measuring portion sizes, or adhering to strict rules. They received support through weekly webinars with Evans, who answered questions about day-to-day challenges, provided advice about nutrient intake and cooking procedures, and offered feedback about how to integrate options for family and friends into every meal.
Participants also received daily support from the 21-Day Vegan Kickstart program, a free online meal-planning program that goes live the first day of each month and provides participants with dietitian-created meal plans, grocery shopping lists, inspirational tips, videos of cooking demos and grocery store tours, and interactive tools, including a free iPhone app.

Exercise wont happen if you dread all 150 minutes of your workouts every week. Switch it up, too.
Stepping onto the treadmill every time you hit the gym has the same effect as eating salad for dinner every night. Yawn!
Do something different to keep yourself entertained while also working out different muscle groups in the process.
We may be looking at this whole diet thing all wrong. Its not about restriction or over-exercising to lose those last 10 pounds.
Its about figuring out how to make good food and enjoyable exercise happen.
Maybe this diet wont work for you, but you never know until you try.
